Terms of Service
The agreement between your business and Sofrito.
These terms govern the Sofrito website and the Sofrito Founding Cohort. They are part of the agreement package shown in the secure application, and the signed Order Summary controls the accepted location count, price, and payment option.
1. Company, scope, definitions, and acceptance
1.1 Who you are contracting with
The service is provided by Far Green Holdings, LLC, an Indiana limited liability company doing business as Sofrito, at 8520 Allison Pointe Boulevard Ste 223, Indianapolis, IN 46250 (“Sofrito”, “we”, “us”). The public footer brand “A Far Green Company” refers to the same entity.
1.2 Scope
These terms cover the Sofrito website, the demo, the secure application, the agreement and checkout flow, the customer workspace, and the delivery of the Sofrito Founding Cohort.
1.3 Definitions
- Founding Cohort — the 90-day engagement described in Schedule A.
- Period — one of the three consecutive 30-day paid periods that make up the cohort.
- Onboarding — the first seven days of period one: setup, intake, connecting records, review, and preparation. Onboarding is paid service, not a trial and not a free week.
- Operating service — the part of the cohort after onboarding, during which briefs are delivered.
- Scheduled report — one of the twelve written deliverables described in section 6: three action reports and one business health recap in each period.
- Covered location — a business location named in the signed Order Summary.
- Order Summary — the signed record of your location count, price, payment option, and accepted document versions.
- Customer records — the reports, statements, exports, and operating context you supply.
1.4 Acceptance
You accept these terms by signing the agreement package in the secure application. Acceptance is deliberate: the acknowledgments start blank, initials and a typed signature are entered by hand, and the exact documents shown to you are recorded with their versions, the acceptance time, and a digest of the signed package. Browsing the website alone does not create an agreement.
The person signing must be authorized to bind the business. A materially changed offer or document package requires a fresh acceptance; it is never applied to an existing signature.
2. The service and the limits of its recommendations
2.1 What Sofrito does
Sofrito brings your sales, purchasing, labor, delivery costs, expenses, and operating context into one current financial story, states what deserves attention, recommends a next move, and follows what happened afterwards.
2.2 Evidence, not certainty
Every material conclusion carries an evidence label — Confirmed, Likely, or Needs a closer look. Which label a finding earns depends on the records you send. Incomplete or inconsistent records limit a conclusion rather than being filled in with assumptions, and “unknown” is a valid result.
2.3 Automated preparation
Automated tools may assist with organizing evidence and preparing explanations. Financial calculations are performed by code; automated preparation cannot invent or override a number, approve a finding, or replace human review. Material conclusions are reviewed by a person during Founding Access.
2.4 Not professional advice
Nothing Sofrito provides is accounting, tax, legal, investment, employment, insurance, or food-safety advice, and no professional or fiduciary relationship is created. You remain responsible for your own decisions. The Disclaimer states these limits in full and does not reduce the express promises in section 6.
2.5 Not included
Bookkeeping, tax preparation, legal advice, payroll processing, daily financial management, unlimited consulting, full inventory counting, recipe costing, vendor negotiation, and replacement of a point-of-sale or accounting system are not included unless separately agreed in writing.
3. Eligibility, signer authority, accounts, and covered locations
3.1 Eligibility
Founding Access is offered to independent food businesses, is capacity-limited, and is granted at Sofrito’s discretion. Applying does not guarantee an offer. Declining to enrol, or withdrawing before you sign, is not a breach of anything.
3.2 Signer authority
You represent that the individual signing is at least 18 and is authorized to enter this agreement on behalf of the business named in the Order Summary, and that the business information given is accurate.
3.3 Accounts and access
Access to the customer workspace is granted to verified people at your business. You are responsible for who you invite and for telling us promptly when someone should lose access. Access is scoped to your business; records belonging to other customers are never in scope.
3.4 Covered locations
Only the locations named in the signed Order Summary are covered. Adding a location changes the price and requires a new or amended signed offer. Eleven or more locations require an approved custom offer before signing or checkout.
4. Cohort duration, onboarding, and your responsibilities
4.1 Duration and start
The Founding Cohort lasts exactly 90 days, as three paid 30-day periods. Signing records the agreement but does not start service. Day zero is the moment Sofrito verifies the successful initial payment on the server. A checkout return page is not proof of payment.
The cohort ends exactly 90 days after that start. There is no auto-renewal. The cohort cannot be paused. Any later service is a separate optional offer under a separate agreement.
4.2 Onboarding
The first seven days of period one are onboarding: setup, intake, connecting your records, review, and preparation. Onboarding is paid service covered by the period-one fee. It is excluded from the guarantee and from missed-report credits, because no report is due during it.
4.3 Your responsibilities — required participation
Founding Access is a working engagement, and it depends on you. You agree to:
- supply the agreed business records each week by the stated deadlines, throughout the cohort;
- keep the named business contact reachable and attend the review call in each period;
- tell us when something material changes — a new location, a new system, a change in ownership;
- give accurate information, and correct it when you learn it was wrong.
The specific record categories and weekly record deadline are agreed during onboarding and recorded in your workspace. Section 7.3 describes what happens if these obligations are not met.
5. Pricing, payment authorization, and installments
5.1 Price
The first three covered locations cost $149 each per 30-day period. Locations four through ten cost $119 each per period. The full commitment is three times the period price — for one location that is $447 for the whole 90 days. All amounts are US dollars. Paying in full earns no additional discount. 5.2 Payment options
Pay in full collects the full 90-day commitment immediately after signing, with no later cohort charges.
Pay over time collects the first installment immediately after signing and authorizes Sofrito’s payment provider to save the payment method for two equal installments at exactly 30 and 60 days after the cohort starts. By choosing it you authorize those two later charges to the saved method.
5.3 Payment handling
Card details are entered only on the payment provider’s hosted checkout. Sofrito stores provider identifiers and verified payment state, never card numbers. Repeated clicks, refreshes, retries, or repeated provider events do not authorize a duplicate agreement or a duplicate charge. If checkout is abandoned or a payment fails, the unchanged signed offer may resume payment without another signature.
5.4 Failed installments
If a scheduled installment fails, Sofrito will tell you and may retry the saved method. Service may be suspended under section 7.1 while an installment is unpaid. Sofrito does not add late fees or interest.
5.5 Taxes
Prices are exclusive of any sales, use, or similar taxes that may apply. Where such a tax applies it is added at checkout and shown before payment.
5.6 Optional continuation
After Founding Access ends, Sofrito may offer a separate continuation at a higher standard price. Founding members will receive a promo code for 20% off that price. The benefit does not require an uninterrupted subscription. We are not promising a lifetime price, and Sofrito is not obliged to offer a continuation at all.
6. Reports, delivery schedule, guarantee, credits, and refunds
6.1 What Sofrito delivers
Sofrito delivers twelve scheduled reports before 10:00 AM on the customer-selected Monday, Wednesday, or Friday in the service timezone. The associated evidence snapshots are Saturday, Monday, or Wednesday at 6:00 PM local time, respectively. The local times remain fixed across daylight-saving changes, so the preparation window is approximately 40 hours rather than always exactly 40 elapsed hours. Customers may upload records on any day.
6.2 Scheduled reports
Each period contains action reports on days 14, 21, and 28, 37, 44, and 51, and 67, 74, and 81, plus comprehensive business health recaps on days 30, 60, and 90. Each recap brings together business performance, progress, remaining leaks, and priorities for the next period. Action reports cover days 0–14, 14–21, 21–28; 30–37, 37–44, 44–51; and 60–67, 67–74, 74–81. Recaps cover the complete periods 0–30, 30–60, and 60–90. Each report uses the first selected delivery slot whose snapshot is at or after the entire coverage period ends. The actual coverage, snapshot, and delivery dates are shown in the customer workspace. Records received after a snapshot do not silently change a frozen report; material updates use a reviewed correction or addendum. A missed action report does not block an otherwise supportable recap: Sofrito records the missed obligation and remedy, links the action reports that are available, and builds the recap from all eligible evidence for the complete period with honest limitations. The day-90 recap remains available after the cohort ends.
6.3 Profit Leak Guarantee
For every eligible operating period and every covered location, Sofrito either identifies a real profit leak — a specific, evidence-backed source of lost revenue, avoidable cost, or margin erosion, with a practical next step — or refunds that location’s applicable period fee for that period.
This guarantees a supported finding and a next step. It is not a promise of a dollar amount of savings, of improved profit, or of any other business outcome. Period one is assessed only over its operating portion; periods two and three are assessed over their full operating periods.
6.4 Missed brief credits and the combined cap
A scheduled report that Sofrito fails to deliver by the stated time carries a credit of $37.25 for a $149 location and $29.75 for a $119 location. Credits and a guarantee refund for the same location and period never exceed that location’s applicable period fee. A report delivered on time is not missed because supplied records were incomplete; it states what was missing and what it blocked.
6.5 Refunds
The Refund Policy states the full mechanics, worked examples, and how to request a credit or refund. It is incorporated into these terms.
7. Suspension, termination, remaining installments, refunds, and data disposition
7.1 Suspension
Sofrito may suspend service where an installment is unpaid, where continued service would breach law, or where an account is being used in a way section 9.3 prohibits. Suspension is notified in writing with the reason and what would lift it.
7.2 Voluntary cancellation by you
The cohort cannot be paused. If you voluntarily cancel after service starts, Sofrito retains the first period’s fee for each covered location plus one quarter of that location’s period fee for each scheduled report delivered in periods two and three. Sofrito returns the unused paid balance and cancels future installments. Earned credits and guarantee refunds remain payable and previous reimbursements are counted once.
7.3 Participation termination
If the business does not fulfil the participation requirements in section 4.3, Sofrito may terminate participation. Termination follows a written warning that names the missed obligation and gives a reasonable opportunity to correct it, and a named person at Sofrito reviews and decides before any termination takes effect. Termination for non-participation is never automatic.
On termination under this section, future installments are cancelled. Sofrito retains only one quarter of the applicable location’s period fee for each scheduled report actually delivered and returns the remaining money paid. Earned remedies remain payable and previous reimbursements are counted once. No automatic termination or refund is permitted.
This does not remove the Profit Leak Guarantee, and a guarantee refund already earned is not taken back.
7.4 Termination by you for Sofrito’s breach
If Sofrito materially fails to deliver the service and does not correct it within fifteen days of your written notice, you may terminate and receive a refund of amounts paid for periods not yet delivered, in addition to any credits or guarantee refunds already earned.
7.5 Data disposition after the cohort
After the cohort ends or is terminated, you may request an export of your records and of the briefs delivered to you. Sofrito retains customer records as described in the Customer Data Terms and the Privacy Policy, and deletes them on request except where a documented legal or protective obligation requires retention, in which case the retained category is identified to you.
8. Customer data, confidentiality, research use, and testimonial contact
8.1 Ownership
You keep ownership of the records you supply. You grant Sofrito the limited right to use them to deliver, secure, and support the accepted service. Sofrito does not sell customer records and does not use them to train a general model.
8.2 Confidentiality
Each side protects the other’s confidential information with reasonable care, uses it only for permitted purposes, and limits disclosure to authorized recipients under appropriate confidentiality duties or where law requires disclosure.
8.3 Required conditions of Founding Access
Two conditions that were previously optional are now required conditions of Founding Access, and are acknowledged separately in the agreement:
- De-identified research use. Sofrito may use de-identified themes drawn from the engagement — patterns, categories of finding, and aggregate observations — to improve the service and its methods. This use is aggregated and de-identified. It does not include your raw records, your business identity, your figures, or anything that identifies you, and it is not used to train a general model.
- Testimonial contact. Sofrito may contact you to ask whether you would be willing to give a testimonial. This permission is to ask, and nothing more. It does not permit Sofrito to publish your name, your business identity, an identifiable quote, or your results. Any identifiable publication requires your separate, specific written permission, given at the time.
You may decline a testimonial request at any time with no effect on your service.
8.4 Privacy
The Privacy Policy and the Customer Data Terms describe what is collected, why, who processes it, how long it is kept, and how to make a request. Both are incorporated into these terms.
9. Intellectual property, permitted use, and prohibited conduct
9.1 Sofrito’s materials
The website, the software, the brief format, the methods, the brand, and all other Sofrito materials remain Sofrito’s property. Nothing here transfers ownership of them to you.
9.2 Your licence to use what you receive
You receive a non-exclusive, non-transferable right to use the briefs, reports, and recommendations delivered to you for operating your own business, including internally and with your own advisors. That right survives the end of the cohort. You may not resell them, publish them as a product, or present Sofrito’s analysis as another provider’s work.
9.3 Prohibited conduct
You agree not to: attempt to access another customer’s records or any part of the system you have not been granted; probe, scan, or interfere with the service’s security; use the service to break the law or to infringe someone else’s rights; submit records you have no right to share; scrape or bulk-extract the site; or resell access to your workspace.
9.4 Feedback
If you suggest an improvement, Sofrito may use it without obligation. This does not give Sofrito any right to your business records.
10. Third-party services and integrations
Sofrito relies on third-party providers to run the service: Cloudflare for hosting and the automated human check, Supabase for restricted record storage, Stripe for hosted checkout and card handling, and Resend for service email. The current list is maintained in the Customer Data Terms and changes as providers change.
Sofrito works from reports, statements, records, and exports, and does not claim a live integration with your point-of-sale, payroll, accounting, or delivery platform unless one actually exists and is named in your workspace. Sofrito does not control third-party systems and is not responsible for their availability, their pricing, their terms, or the accuracy of the data they produce. Where you use a hosted checkout, that provider’s own terms also apply to that transaction.
11. Warranties, liability, indemnification, and dispute provisions
11.1 What Sofrito warrants
Sofrito will perform the agreed services with reasonable care and skill. Recommendations depend on the records available. Sofrito’s express delivery, guarantee, confidentiality, credit, and refund obligations remain payable as written.
11.2 What Sofrito does not warrant
Beyond section 11.1, and to the extent the law allows, the service is provided as-is. Sofrito does not warrant that the service will be uninterrupted or error-free, that any particular finding will be Confirmed, or that acting on a recommendation will produce savings, profit, or any other outcome.
11.3 Limitation of liability
To the extent law permits, neither side is liable to the other for lost profits, lost revenue, lost opportunities, or indirect or consequential losses. The general aggregate liability cap for all claims arising from the agreement is the full 90-day contract price in the signed Order Summary across all covered locations, whether payment is upfront or by installments.
The cap is one aggregate cap, not a separate cap per claim or report. It applies to ordinary confidentiality and data-security claims and does not apply to fraud, intentional misconduct, gross negligence, or liability that cannot legally be limited. Properly due customer fees and expressly promised refunds and credits remain payable independently of the cap, and canceled installments do not become due again. Nothing here limits regulators or other parties not bound by this agreement.
11.4 Indemnification
You will defend and indemnify Sofrito against third-party claims arising from records you had no right to supply or from unlawful use of the service. Sofrito will defend and indemnify you against covered United States intellectual-property claims involving Sofrito’s own software or original report content supplied and used as authorized. Sofrito is not responsible under this paragraph for customer materials, unauthorized modifications, or combinations that caused the claim.
The protected party must give prompt notice and reasonable cooperation. The defending party controls the defense, but may not settle in a way that admits fault by or imposes a non-monetary obligation on the protected party without written consent. Covered defense costs, judgments, and approved settlements count toward the general aggregate cap, subject to the exceptions above.
11.5 Governing law and venue
This agreement is governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. The state and federal courts located in Marion County, Indiana (Indianapolis) have exclusive jurisdiction, and both sides consent to venue there.
11.6 Resolving a dispute first
Before filing anything, write to hello@trysofrito.com describing the problem and what would resolve it. Sofrito will respond within ten business days and both sides will try in good faith to resolve it for thirty days. This does not stop either side from seeking urgent injunctive relief.
There is no arbitration clause and no class-action waiver in this agreement. Neither was present before, and neither is being added here.
Sections 8, 9, and 11 survive termination for claims arising from this agreement.
12. Changes, notices, document precedence, severability, and contact
12.1 Changes
Sofrito may update these terms for future customers. Your signed package does not change underneath you. The documents and versions recorded at your acceptance continue to govern your cohort, and a materially changed package requires a fresh acceptance from you. Historical acceptances are never rewritten.
12.2 Notices
Sofrito gives notice to the email address recorded in your Order Summary or in your workspace. You give notice to hello@trysofrito.com, or by writing to the address in section 1.1. Notice is effective when sent to the current recorded address; keep yours up to date.
12.3 Order of precedence
Where these documents disagree about your engagement, the following order applies, highest first:
- the signed Order Summary — location count, price, payment option, accepted versions;
- Schedule A — the 90-day schedule, onboarding, periods, and start rule;
- these Terms of Service;
- the Customer Data Terms (Exhibit B) and the Operating Particulars (B10) for data handling;
- the Privacy Policy;
- the Refund Policy and the Disclaimer;
- any other page on this website.
Where a data-handling question is concerned, the Customer Data Terms and Privacy Policy control over these terms even though they sit lower in the list. A conflict found between documents is surfaced and corrected rather than resolved silently in Sofrito’s favour.
12.4 Entire agreement, assignment, severability, waiver
The signed package is the entire agreement between us about the Founding Cohort and replaces earlier discussions about it. You may not assign it without Sofrito’s written consent; Sofrito may assign it to a successor to its business on notice to you. If any provision is held unenforceable, the rest stands and the provision is limited to the minimum extent needed. Not enforcing a right once does not waive it.
